Shareholders Meeting
Minutes – March 6, 2012
Board president Rick Hammond welcomed the stockholders and Board Treasurer George Nunnally gave the invocation. Minutes from the previous year’s general meeting were accepted.
Treasurer’s report, and the annual budget, was presented by Treasurer Buster Nunnally. It showed the association with a positive cash flow.
A head count was conducted of those attending and it was established that there was a quorum. A quorum constitutes 50% of the stockholders, plus one. It was necessary to have a majority for a vote on the proposed amendments to the Thompson Farm Constitution and By-Laws.
It was noted that the amendments were sent out to members prior to the board meeting by the board secretary Michael Castengera. Copies were available at the board meeting. A ballot was mailed out to stockholders ahead of the meeting to allow members to vote by proxy. Ballots were also handed out at the meeting.
A total of 39 changes were proposed. There was discussion of the proposed amendments. A count of the ballots showed the amendments were approved by the full membership.
The outgoing board members – Carol Bishop, Parshal Bush and Bill White were thanked for their service. The incoming new board member nominees were presented. They are Julie Griffith, Tim Frey and Steve Wade.
The continuing board members are Rick Hammond as president, George Nunnally as treasurer, Michael Castengera who was voted in previously to fill in the unexpired term of the previous secretary, Eric Gisler, Jonathan Cape, Amy Jo T. Robertson, David Brown, Gary Tate, Vernon Self and Marty Martin.
The board membership was approved by the stockholders.
The meeting ended and refreshments were served afterwards.
